§ 1 Scope & Definitions

(1) StarPilot by Males GmbH (hereinafter “StarPilot”) provides SaaS services in the field of review management and online marketing. These General Terms and Conditions apply to all services between StarPilot and its customers in the version valid at the time of the order, unless otherwise expressly agreed in writing.

(2) These terms apply to business relationships with consumers and entrepreneurs within the meaning of Sections 13, 14 of the German Civil Code (BGB).

(3) A “consumer” is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession. An “entrepreneur” is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

(4) Deviating, conflicting, or supplementary terms of the customer shall only become part of the contract if StarPilot has expressly agreed to their validity in writing.

§ 2 Services

(1) StarPilot provides the following services:

  • AI-powered generation of review texts for Google Reviews
  • Provision of a review widget with QR code functionality
  • Keyword-based optimization of review texts for local SEO
  • Dashboard for managing reviews and tokens
  • Multilingual support (German, English, Spanish, Arabic)

(2) The specific scope of services is determined by the selected plan or order confirmation.

(3) A distinction is made between:

  • Token-based usage: One-time purchase of review tokens for generating review texts
  • Subscription models: Regular provision of tokens and extended features

§ 3 Contract Formation

(1) StarPilot's offers on the website constitute a non-binding invitation to place orders.

(2) The contract is concluded by:

  • Registration and ordering via the website starpilot.io
  • Written order confirmation by StarPilot after commissioning
  • Commencement of service provision by StarPilot after commissioning

(3) Oral side agreements require written confirmation by StarPilot to be effective.

(4) The contract is concluded with StarPilot by Males GmbH, Vilsendorfer Str. 64, 33739 Bielefeld, Germany.

§ 4 Customer Obligations

(1) The customer is obligated to provide all information required for the execution of the order in a timely and complete manner. This includes in particular:

  • Google Place ID of the business
  • Desired keywords for the review texts
  • Business details (name, industry, location)

(2) The customer ensures that the information provided is correct and does not infringe upon the rights of third parties.

(3) The customer shall designate a permanent contact person for communication.

§ 5 Service Delivery

(1) StarPilot provides its services with industry-standard diligence and in accordance with the current state of technology.

(2) StarPilot expressly points out that the generated review texts serve as suggestions for the client's actual customers. The final review is published by the respective end customer on Google.

(3) StarPilot does not guarantee a specific number of actually published reviews, as this depends on the behavior of end customers.

(4) Platform availability is targeted at 99% uptime on an annual average. Planned maintenance will be announced in advance.

§ 6 Pricing & Payment

(1) Pricing is determined by the selected plan on the website. All prices are exclusive of statutory VAT.

(2) Payment is due upon ordering. Payment is made via the payment methods offered on the website.

(3) Tokens do not expire and can be used indefinitely.

(4) In the event of late payment, StarPilot reserves the right to charge reminder fees and default interest in accordance with Section 288 BGB (5 percentage points above the base rate for consumers, 9 percentage points for entrepreneurs).

(5) The customer may only offset claims that are legally established, undisputed, or acknowledged by StarPilot.

§ 7 Cancellation by the Customer

(1) Token purchases may be cancelled within the statutory withdrawal period, provided no tokens have been used.

(2) Tokens already used will not be refunded.

(3) The customer retains the right to prove that StarPilot incurred no or lesser damages.

§ 8 Term & Termination (Subscriptions)

(1) Subscription contracts have the minimum term specified on the website.

(2) The contract is automatically renewed for the respective billing period unless terminated with 14 days' notice before the end of the current contract period.

(3) The right to extraordinary termination for good cause remains unaffected.

(4) Termination can be made by email to info@boovis.de or via the customer dashboard.

§ 9 Copyright & Usage Rights

(1) AI-generated review texts are provided to the end customer for free use.

(2) Copyrights to the StarPilot platform, widget design, and all associated materials remain with StarPilot.

(3) The customer receives a simple, non-transferable right to use the platform for the duration of the contractual relationship.

§ 10 Warranty

(1) StarPilot warrants that its services meet the agreed requirements and are provided with industry-standard diligence.

(2) The customer is obligated to report recognizable defects immediately, no later than 14 days after becoming aware of them, in writing.

(3) In the case of justified defects, StarPilot shall first provide rectification. If rectification fails after two attempts, the customer may withdraw from the contract or demand a reduction in remuneration.

(4) Warranty periods: 24 months for consumers, 12 months for entrepreneurs.

§ 11 Liability

(1) StarPilot is liable without limitation for damages arising from injury to life, body, or health, as well as for damages based on intent or gross negligence.

(2) In cases of slight negligence, StarPilot is only liable for breach of essential contractual obligations (cardinal obligations). Liability in these cases is limited to the foreseeable, contract-typical damage.

(3) Liability – except in cases of paragraph 1 – is limited in amount to the agreed order sum of the respective individual order.

(4) StarPilot is not liable for:

  • Deletion or non-publication of reviews by Google
  • Ranking changes due to search engine algorithm updates
  • Outages or disruptions at third-party providers (Google, hosting, etc.)
  • Damages caused by incorrect information from the customer
  • Lost profits or indirect damages, except in cases of intent or gross negligence

§ 12 Confidentiality & Data Protection

(1) Both parties undertake to keep confidential all confidential information obtained from the other party during the course of cooperation.

(2) StarPilot processes personal data of the customer exclusively for contract fulfillment and in accordance with the GDPR and the German Federal Data Protection Act (BDSG).

§ 13 Right of Withdrawal for Consumers

(1) Consumers have the right to withdraw from the contract within 14 days without giving reasons.

(2) The withdrawal period is 14 days from the date of contract conclusion.

(3) To exercise the right of withdrawal, the customer must inform StarPilot by Males GmbH, Vilsendorfer Str. 64, 33739 Bielefeld, email: info@boovis.de by means of a clear declaration (e.g., letter or email) of the decision to withdraw from the contract.

(4) The right of withdrawal expires prematurely if StarPilot has fully provided the service and only began execution after the customer gave express consent and confirmed knowledge that the right of withdrawal is lost upon full contract fulfillment.

(5) If the customer has requested that services begin during the withdrawal period, the customer shall pay StarPilot a reasonable amount corresponding to the proportion of services already provided at the time of withdrawal.

§ 14 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as the protection afforded by mandatory provisions of the law of the country of residence is not withdrawn.

(2) If the customer is a merchant, legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes is StarPilot's registered office (Bielefeld).

(3) Amendments and additions to these terms and the contract require written form. This also applies to the waiver of this written form requirement.

(4) Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the invalid provision.

(5) The contract language is German.

(6) The European Commission provides a platform for online dispute resolution (ODR): ec.europa.eu/consumers/odr. StarPilot is not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
